Terms & Conditions

1. General

1.1 The following terms and conditions ("Terms") constitute the entire contract between GiveMeAStudent.com(“GMAS”), 3rd Floor, Great Titchfield Street, London W1W 7QG and the person, organisation or company ("Client") who is seeking to obtain the GMAS Service.

1.2 These terms and conditions herein set out are to be incorporated or implied in any agreement between GMAS and the Client. In the event of conflict between these Terms and any other terms and conditions, the former shall prevail unless expressly otherwise agreed by GMAS in writing.

1.3 The arrangement of an interview with an applicant introduced by GMAS, shall be deemed to be acceptance of and agreement to these terms and conditions by the Client. Our fees will be charged whether or not the Client knew of the applicant previously.

2. Services

2.1 GMAS will introduce Candidates to the Client in order to fill a vacant Placement at the Client’s company for an agreed period of time (“Service”)

2.2 The Service supplied by GMAS is delivered by the transmission of C.V's to the Client and the Client’s subsequent offer of a Placement to a Candidate.

3. Fees

3.1 GMAS’s fee (“Fees”) for the Service shall be charged per month based on the term of the Placement. Example: Monthly Fee x Placement Term = GMAS Fee

3.2 Client agrees to undertake to provide GMAS with all information necessary to calculate Fees payable.

3.3 Term extensions for any specific Placement must be agreed with GMAS in advance and GMAS’s Fees shall be per additional month based on the extension term.

3.4 United Kingdom 100 pounds per month based on the term of the Placement
USA 100 dollars per month based on the term of the Placement
European Union 100 euros per month based on the term of the Placement

3.5 Should the Client subsequently employ, on a full time or part time basis, any Candidate introduced by GMAS within twenty-four (24) months of the completion of a Placement, the Client agrees to pay GMAS a charge equal to twenty two percent (22%) of the Candidate's first year guaranteed earnings.

4. Payment

4.1 Payment Options 1: GMAS will issue invoices within the first month of the Placement for the total Fees due per Candidate.

4.2 Payment Option 2: GMAS will issue an invoice per month over the term of the Internship.

4.3 Payment of all invoices is due thirty (30) days after the date of issue.

5. Confidentiality

5.1 The introduction of a Candidate to the Client involves the transmission of Confidential Information. The Client undertakes to protect such Confidential Information and prevent transmission to any third party.

6. Limitations of Liability

6.1 GMAS shall endeavour to ensure the suitability of an applicant and to maintain a high standard of service and integrity, but makes no warranty, expressed or implied, as to such suitability.

6.2 GMAS shall not be liable to the Client for any loss, liability, damages, costs, claims or expense suffered or incurred by the Client arising from, or connected with, the recruitment or engagement of any Candidate howsoever arising.

6.3 The Client shall be responsible for verifying the candidate's references before an offer of employment is made and to satisfy themselves as to the candidate's qualifications, work record, medical health and general integrity.

6.4 The Client shall be responsible for obtaining work and/or other permits for the applicant and shall satisfy himself as to the suitability of any applicant prior to any engagement.

7. Termination of Placements or Candidates

7.1 If the Client elects to terminate the employment of a Candidate, it undertakes to inform GMAS of the reasons for termination in writing within thirty (30) days of the termination date. On receipt of the notification from the Client, GMAS will have the right to provide alternative Candidates to complete the outstanding period of the Placement. If no suitable Candidates can be identified, Client will be eligible for a refund of the Fees paid for all months yet to be completed in full on the Placement.

7.2 Should the Client elect to terminate the Placement at their company and not replace the Candidate, no refund of Fees paid will be paid to the Client.

8. Jurisdiction

These terms and conditions shall be governed and construed in accordance with English Law and the parties submit to the exclusive jurisdiction of the English Court.

Defined Terms

“Client” – Company detailed in this agreement including any other companies in the same group of companies, subsidiaries and sister companies.

“Placement” – A role at Client’s company, either existing or specifically created, and with a defined length to be fulfilled by a student.

“Candidate” – An individual sourced by GMAS for the purpose of filling a Placement.

“Confidential Information” – Documentation related to Candidates including, but not limited to, cover letters, CVs and pictures of the Cadidate.
